Disclaimer
The Government of Kerala ["GoK"] intends to induct Strategic Partner ["SP"], in Transformers and Electricals Kerala Limited (TELK), Angamally South.P.O. Kerala, India. The GoK proposes to offer equity stake between 26% to 45% of the equity capital in TELK to the SP for which the funds shall be infused into TELK by the SP. (herein after referred to as the “Transaction”). Public Sector Restructuring & Internal Board (RIAB), is authorised by the Government of Kerala for implementation and RIAB has appointed Industrial Development Bank of India –Merchant Banking & Corporate Advisory Services Department (IDBI – MB&CASD) as Transaction Advisor (TA) for selection and induction of Strategic Partner (SP). . This Preliminary Information Memorandum (PIM) has been prepared on the basis of information provided by RIAB / TELK, other publicly available documents which IDBI – MB&CASD believes to be reliable, information and clarifications furnished by RIAB/TELK and discussions with the officials of RIAB/TELK. The sole objective of this PIM is to solicit Expression of Interest from interested parties for taking part in the future process leading to selection of SP. Accordingly, interested recipients of this PIM should carry out an independent assessment and analysis of TELK and of the information, facts and observations contained herein.
IDBI- MB &CASD is acting as Transaction Advisors to RIAB, GoK for the purpose of selection of strategic partner in TELK and will not regard any person (whether a recipient of this PIM or of any other information) as its client in relation to this transaction.
This PIM has not been filed, registered or approved in any jurisdiction. Recipients, of this document, resident in jurisdictions outside India should inform themselves of and observe any applicable legal requirements. This document does not constitute an offer or invitation, or solicitation of an offer, for sale of/ subscribe to equity shares or any securities nor does this document or any thing contained herein, shall form a basis of any contract or commitment whatsoever. Government of
Kerala (“GoK”) presently holds 82.46% of the total equity share capital in
Transformers and Electricals Kerala Ltd.(TELK). . GoK intends to bring in a Strategic Partner(SP) vide G.O. (MS)
No.55/2003/ID dated 24.05.2003 for long term growth and sustenance of the TELK,
Angamally South.P.O. Kerala, India. GoK proposes to offer equity stake between
26% to 45% of the equity capital in TELK to the SP for which the funds shall be
infused into TELK by the SP (herein after referred to as the
“Transaction”). . Public Sector
Restructuring & Internal Board (RIAB), is authorised by Government of Kerala for
implementation. IDBI-MB & CASD has been appointed by RIAB as Transaction
Advisors to assist RIAB for the above
Transaction.
1.2
This
Preliminary Information Memorandum (“PIM”) has been prepared to enable
interested parties to submit their Expression of Interest (“EoI”), subject to
‘Disclaimer’ set out earlier.
1.3
For the
purposes of this Transaction, the Interested Party shall ascertain the
applicability of all laws including Indian laws and shall ensure compliance with
the same.
1.4 Interested parties should note that in terms of Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations,1997, the strategic partner selected to acquire stake in TELK, may be required to make a public offer to acquire further shares of TELK in accordance with these regulations. For further details, interested parties may refer to the Securities and Exchange Board of India regulations in this regard.
An
advertisement has been issued in leading business / other newspapers,
journals,inviting interested parties to submit their EoI to participate in
the SP induction process, a copy of
which is enclosed (Annexure-I). The
RIAB, GoK reserves the right to terminate or alter the bidding process at any
stage, without prior notice or assigning any reasons whatsoever and without
incurring any liability in respect thereof.
The process of participating in the
transaction and the requirements relating to information to be provided by
interested parties when submitting their EoI is set out in the ensuing
sections.
4.1 Eligibility
The EoI may be submitted by domestic /
overseas company / firms or foreign incorporated entities satisfying the
eligibility criteria laid down here under. The EoI can be submitted either as a
sole bidder or as a consortium. In
case of submission of EoI as a consortium, each of the eligibility criteria will have to be
satisfied by each and every member of the consortium.
The eligibility criteria shall be as under
A.
TECHNICAL
(i)
An Original
Equipment Manufacturer (OEM)/a consortium of OEMs, capable of offering improved
technology for TELK’s existing products, upgrade and modernise the present
infrastructure, and also to add other vital Extra High Voltage (EHV) equipments
and installations needed for power sector both at National and International
markets - (Verifiable by the
certificate issued by customers).
(ii) The individual
bidders/each partner of a Consortium shall have designed, manufactured, tested,
installed and commissioned following 400 kV class equipments. (All the equipments shall be in
successful operation for at least 5 years on the date of bid opening.) (Verifiable by the certificate issued by
the customers).
a.
Power
Transformers, of at least 600 MVA capacity (or equivalent bank capacity of three
phase units)
b.
Shunt and
Series Reactors upto 80 MVAR
capacity.
c. Gas Insulated Substations / Switchgear equipments
(iii)
The Individual bidder/each partner of a consortium shall
have
a.
Proven
technology for higher transmission voltage of 765 kV AC equipments, Converter
transformers, 400 kV Breakers and GIS and HVDC equipments and have executed such
projects. (Verifiable as per the
project Authority’s Certificates)
b.
In house
extensive R & D network to update the technology and improve the products
progressively as per market demand for the products mentioned above. (Verifiable
as per the details submitted by the
bidder.)
c.
In house
testing facility for equipments manufactured In respect of special tests, the
bidder shall be able to produce test reports carried out by EHV laboratories of
International repute. (Verifiable by the details of equipments, organizational
structure in addition to documentary evidences wherever
required).
d.
All products
having quality standards acceptable worldwide. (The standards to which the
product confirms are to be stated with documentary
proof).
e.
Successfully
executed turnkey projects upto 400 kV class (at least 2 major projects) and
above and HVDC stations of 500 kV class.
All such projects shall be in satisfactory operation for at least three
years as on date of bid opening.
f.
In general the
Bidder shall be a World-class major undertaking / brand holder in HV/EHV
Electrical equipments sector known for their products and active presence for at
least past 25 years.
All the above eligibility criteria will be
evaluated and the qualified interested parties will be finalized by a Technical
Committee constituted for the purpose and their decision will be
final.
B. FINANCIAL
The individual bidders/each partner of a
consortium shall have
(i)
Annual
turnover of not less than Indian Rupees 4000 million or equivalent US Dollars
during each financial year out of which the latest finalized date is not earlier
than March 31, 2003.
(ii) Net worth
should not be less than Indian Rupees 2000 million or equivalent US Dollars as
per the audited annual accounts out of which the latest finalized date is not
earlier than March 31, 2003.
(iii)
At present
running business in the HV / EHV Sector on profitable lines based on audited
accounts out of which the latest finalized date is not earlier than March 31,
2003.
4.2
Where the
financial statements are expressed in currency other than Indian Rupee, the
eligible amount as described above shall be computed by taking the equivalent US
Dollars at the exchange rates (as stipulated by FEDAI ) prevailing on the date
of such financial statements.
4.3
The
requirements cited above will have to be met on the basis of a financial year
comprising continuous period of twelve calendar months and in the event of
financial statements exceeding such period, the same shall be arrived at on an
annualised basis.
5.1
Interested
parties may respond to this PIM by submitting an EoI Package comprising an
Expression of Interest, a Statement of Legal Capacity and a Request for
Qualification in formats specified in Annexures II, III and IV.
5.2
The EoI
Package received in accordance with the terms and conditions described
herein will be evaluated based on
the eligilbility criteria and such of those, interested parties who are deemed
to be qualified (“Qualified
Interested Parties” or “QIPs”) will be allowed to participate in the subsequent
selection process (without conferring any right or expectation whatsoever to the
QIPs).
5.3
Following
signing of a Confidentiality Agreement (“CA”) by duly authorized personnel, QIPs
will be provided with the Bid
Packet comprising the Confidential Information Memorandum (“CIM”) and the
Request for Proposal (“RFP”) and will be invited to participate further in the
process as detailed in the RFP. Such QIPs will also be furnished with further
information and draft contract documents which will be finalized prior to
seeking the financial bid.
6.1
Interested
parties must submit, in duplicate, their EoI accompanied by a Statement of Legal
Capacity and Request for Qualification (“RFQ”), as per the formats given in
Annexures II, III & IV of this PIM. (hereinafter referred to as (“the EoI
Package.”)
6.2
The EoI
package must be submitted duly signed an authorized representative of the
interested party. In the case of a consortium, each member of the consortium
will have to complete EoI package duly signed by an authorized representative of
the respective member of the consortium.
6.3
All EoI
Packages must be in English and each copy shall be bound in a separate
volume. Submission of the aforesaid documents by
fax, e-mail or other electronic means will not be acceptable. It is the
responsibility of the interested party (ies) alone to ensure that its EoI with
required documents is delivered at the address given below by the stated time
and date. The sealed envelope containing the aforesaid documents should be
clearly marked “Expression of Interest - TELK”. Neither the RIAB-GoK nor TELK
nor IDBI-MB&CASD or any of their respective officers, employees, advisors or agents shall be responsible for non-receipt of
correspondence.
6.4
A
non-refundable fee of Rs.20,000/- (Rupees twenty thousand only) or equivalent US
Dollars shall be payable by way of a bank draft along with the EoI. The draft
shall be drawn in favour of Public Sector Restructuring & Internal Audit
Board (RIAB) payable at Thiruvananthapuram, Kerala,
India.
6.5
The EoI
package along with the fee should be received by not later than 1700 Hrs.
(Indian Standard Time) on May 10, 2004” at

7.1 The leader of the consortium will have to be
designated and all members shall furnish their consent to join the consortium
led by the designated leader.
7.2 Any change in the composition of the
consortium at any time during the Transaction will require prior consent of the
authorities advertising for EoI.
The leader of the consortium cannot be changed in any
case.
7.3 A consortium will be disqualified from the
process in the event of withdrawal of the leader of the consortium or in the
event the consent for change in composition of the consortium is either not
sought and received or not
permitted.
8.1
No Investment
Vehicle and / or Special Purpose Vehicle shall be eligible or
permitted.
9.1 The
Government of India issued guidelines for qualification of bidders seeking to
acquire any public sector enterprises through the process of disinvestment vide
Department of Disinvestment Circular OM No.6/4/2001-DD-II and subsequent
amendments, if any. The interested party (ies) is (are) required to read the
guidelines and satisfy themselves that they are qualified to bid for the stake
in TELK through this Transaction. The interested party(ies) would be required to
submit the following along with the EoI package:
·
an undertaking
to the effect that they are qualified to bid for the stake in TELK
·
an undertaking
to the effect that no investigation by a regulatory authority is pending against
them.
·
In case any
investigation is pending against the concern or its sister concern or against
its CEO or any of its Directors/Managers/employees, full details of such
investigation including the name of the investigating agency, the charge/offence
for which the investigation has been launched, name and designation of persons
against whom the investigation has been launched and other relevant information
should be disclosed, to the satisfaction of the RIAB-GoK.
·
Provide other
relevant information as required in the guidelines of the Government of
India.
9.2
The RFQ duly
filled in will be accompanied by
the following details:
9.2.1 In case of a sole
bidder
a)
The audited
balance sheet and profit & loss account of the Interested Party (Indian
company/ foreign company) for the last 3 financial years in support of their
meeting the eligibility criteria.
b) Write-up on:
·
Profile of the
Interested Party
·
A statement of
reasons for strategic interest in TELK
·
Details of
litigation and/or legal/ statutory enquiry if any, including litigation by the
Interested party against TELK.
·
Statement as
regards any indictment by any income tax, sales tax, customs or excise
authorities.
c) Document evidencing authorization / delegation of power to
enable the authorized signatory to sign the EoI
d) Any other information considered
material
b)
The audited
balance sheet and profit & loss account for the last 3 financial years of
the leader of the consortium and each of the other members associated in the bid
in support of their meeting the eligibility criteria.

Consent of the member to join the consortium with designated
leader
10.1 An EoI which is
found to be incomplete in content and/or attachments and/or authentication, etc.
will not be considered for
qualification.
10.2 Without prejudice
to any other rights or remedies available, a sole bidder or a consortium may be disqualified and
its EoI dropped from further consideration for any reason whatsoever including
those listed below:
·
misrepresentation by the bidder or any member of the consortium; or
·
failure by the
parties mentioned above to provide necessary and sufficient information required
to be provided in the EoI, along with the Statement of Legal Capacity and RFQ,
pursuant to relevant sections of the PIM; or
·
submission of
an EoI along with Statement of Legal Capacity and RFQ in respect of any
entity/company/consortium, where such company or any member of such consortium
has already submitted an EoI.
·
Non receipt of
the fee of Indian Rupees 20,000/- or equivalent US
Dollars
10.3
If information
becomes known which would have entitled for rejection or disqualification of the
interested party(ies) the right to reject or disqualify the interested
party(ies) can be exercised at the time, or at any time after, such information
becomes known.
10.4
Where the
interested party is a consortium, the entire consortium will be disqualified for
any of the reasons (but not limited to) set out above, even if it applies to
only one member of the consortium.
10.5 GoI has issued
guidelines for disqualification of bidders seeking to acquire any public sector
enterprises through the process of disinvestment vide Department of
Disinvestment Circular OM No.6/4/2001-DD-II. Interested party(ies) not
satisfying the qualification criteria under the guidelines will not be qualified
to bid for the stake in TELK.
10.6 The interested
parties not satisfying the eligibility and requisite qualification criteria
specified in the above sections are not eligible to bid for the stake in TELK.
10.7
The sole
bidder, lead bidder, member of a consortium and the consortium as a whole not
satisfying the eligibility and requisite qualification criteria specified in the
above sections are not eligible. It must be noted that the sole bidder, lead
bidder, member of a consortium and the consortium as a whole must be eligible,
as per the criteria mentioned above, on the date of submission of the EoI and
shall continue to be eligible throughout the Transaction.
11.1 Based on the EoI
submitted by the interested parties, an evaluation of the qualification of such
interested parties will be carried out by an appropriately constituted technical
committee. If at any time during the evaluation process, RIAB / IDBI-MB&CASD
requires any clarification in order to carry out the evaluation, it reserves the
right to request such information from any or all of the companies/ consortium
and the companies/ consortium will be obliged to respond to any reasonable
request for such information and to supply the same to IDBI-MB&CASD within
such reasonable time frame as IDBI-MB&CASD may
require.
11.2 Based on an
evaluation of EoIs received, interested parties, which meet with all the
eligibility criteria will be qualified
(“Qualified Interested Parties” or “QIP”) and invited to participate in
the further selection process (without conferring any right or expectation
whatsoever to QIPs). QIPs will be required to sign a Confidentiality Agreement
(“CA”) by the duly authorized personnel.
QIPs will be provided with the Request For Proposal (RFP) and the
Confidential Information Memorandum (CIM) and shall be invited to participate
further in the process described in detail in the RFP. QIPs will get an
opportunity to conduct due diligence and take up plant visits and will also have
access to data rooms and hold discussions with the concerned officials. The
rules regarding access to information in the data rooms will be provided to QIPs
later. QIPs will then be invited to submit their proposal and a binding price
bid.
11.3The selection of interested parties, who
have been deemed to meet with the eligibility criteria, as Qualified Interested
Parties will be at the sole discretion of RIAB and decision of RIAB with regard to the
selection of QIPs will be final.
11.4The process / selection and induction will
be governed by various provisions relating to Sick Industrial Companies Act,
1985
·
RIAB/GoK
reserve the right to withdraw from the process or any part thereof, to accept or
reject any or all offers at any stage of the process and/or modify the process
or any part thereof or to vary any terms at any time without assigning any
reason whatsoever.
·
RIAB /GoK
reserves the sole right to refuse any or all bids without assigning any reasons
thereof
·
RIAB / GoK
reserves the right to proceed / cancel with the bidding procedure irrespective
of the response to its invitation
·
In any such an
event no financial obligation whatsoever shall accrue to the RIAB/GoK or TELK or
IDBI-MB& CASD or any of their respective officers, employees, advisors or
agents.
1.
The last date
for submission of the EoI package may be extended at the discretion of
RIAB
2. This Preliminary Information Memorandum (“PIM”) along with its enclosures does not constitute any commitment on the part of the RIAB, GoK or TELK or IDBI-MB&CASD or any of their respective officers, employees, advisors or agents, whether in respect of the Transaction or otherwise. Furthermore, this invitation confers neither any right nor expectation to any party to participate in the said process
3. Any recipient of PIM who wishes to seek further information / clarifications relating to the contents of this PIM may forward the same in writing to the attention of designated officials of TA. Any clarification / further information deemed appropriate to be furnished will be done solely through an addendum to the PIM by posting the same on the websites where the PIM has been made available. Such addenda if any shall be posted any time / various occasion but not later than 5 days prior to the last date for submission of EoI package. No individual correspondence will be sent to any one in this regard and the interested parties are advised to refer to the websites periodically. The RIAB / TA reserves the right, in their sole discretion, not to respond to any questions raised or provide clarification sought, if it is considered that it would be inappropriate to do so. Nothing in this section shall be taken or read as compelling or requiring the RIAB / TA to respond to any question or to provide any clarification. No extension of any time and date referred to in this PIM shall be granted on the basis or grounds that the RIAB / TA has not responded to any question/ provided any clarification.
The laws of Union of India shall govern all
matters relating to the Transaction and the bidding procedure. Only Courts at
Ernakulam, Kerala, India (with exclusion of all other Courts) shall have the
jurisdiction to decide or adjudicate on any matter, which may arise out of or in
connection with this Transaction / bidding process.

1.1 TELK
was established in 1963 as a joint venture by Kerala Government, Kerala State
Industrial Development Corporation Limited and M/s.Hitachi Limited, Japan for
the manufacture and selling of heavy electrical equipments. TELK has only one
manufacturing unit which is located at Angamally in Ernakulam District in Kerala, India.
1.2 TELK
started its commercial production in 1966 by supplying a 4 MVA, 66/11kV Power
Transformer to Kerala State Electricity Board. TELK was the first Company in the
country to manufacture Power Transformers of 400 kV class, 600MVA Generator
Transformers for 500MW Thermal Power Stations and 630 MVA generator transformers
for Nuclear Power Station, Extra High Voltage SF6 Gas Circuit Breakers of 400kV
and 220kV class.
1.3 TELK
was referred to BIFR in 1995, as the networth of the company was negative and
BIFR declared TELK as a sick company in 1995. As the sanctioned Rehabilitation Package
of 1997 could not succeed in full, the BIFR in its latest review hearing held on
04/09/2003, ordered for a change of management and orally directed the Operating
Agency – M/s.State Bank of Travancore to advertise for change of management
within 15 days of the date of hearing.
Aggrieved by the above direction, Company has obtained a stay of the
operations of BIFR order till January 21, 2004. At the hearing held on January 21, 2004,
the High Court of Delhi has granted extension of stay till 21-07-2004 for
enabling the respondents to file replies.

3.1 In
1966 TELK commissioned its commercial production by supplying a 4 MVA, 66/11kV
Power Transformer to Kerala State Electricity Board. and First 220 kV class
transformer was made in 1969 and
400 kV class in 1977. Maximum unit size went up from 4 MVA to
50 MVA (1969), 140 MVA (1974), 260 MVA (1980) and then to 315 MVA (1984). Maximum single phase Transformer bank
rating also increased from 180 MVA (1970) to 250 MVA (1977), 450 MVA (1978) ,
600MVA (1982) and then to 630 MVA (
2002 ).
TELK was the first Company in the country to
manufacture Power Transformers of 400 kV class, 600MVA Generator Transformers
for 500MW Thermal Power Stations and 630 MVA generator transformers for Nuclear
Power Station, Extra High Voltage SF6 Gas Circuit Breakers of 400kV and 220kV
class.
3.2 In
1968, TELK commenced Production of Voltage and Current Transformers, and has
supplied thousands of Instrument Transformers in the voltage range 33 kV-420 kV
to various Electricity Boards and Power Utilities in India and abroad. Product
range was further widened by adding new items like Condenser Bushings, On Load
Tap Changers, Circuit Breakers, Shunt Reactors and Isolated Phase Bus Ducts.
3.3 TELK
has been certified as an ISO 9001 accredited company by IRQA in 1994. TELK’s Project Engineering Division is
one of the first such Divisions of any Company in India to have got certified
under ISO 9000 series. The Company
now conform to ISO 9001 – 2000 version certified by IQNet and KEMA
Netherlands.
3.4 TELK
first exported its products to Tanzania in 1971 by supplying two 50 MVA, 132 kV
Transformers. Immediately
thereafter products were exported to Malawi, Cambodia, Iran and Nepal. In 1990s TELK re-vamped its export
activities and exported five
Transformers to Oman and nine 330 kV Gas Circuit Breakers to Nigeria in
1994. This was followed by a number
of export contracts executed to various countries such as Indonesia, Malaysia, Sultanate of Oman, Nigeria,
Mauritius, Singapore, Bangladesh etc.
A total of about 4000 MVA Transformers of various ratings upto 100 MVA
unit capacity manufactured by TELK are in service
abroad.
3.5 TELK
set up a Project Engineering Division in 1985 for undertaking turn-key Contracts
of Electrification jobs. This unit
handles turn-key construction of Substations, Installation and Commissioning of
Hydroelectric Power Stations and also offer technical services and Consultancy
to TELK’s customers and other Industries.
With a strong engineering base and long experience in erection and
commissioning of Transmission equipments, TELK can give total service to their
customers in turn-key projects.
TELK is now fully geared up to offer complete Extra High Voltage
Substations on a turn-key basis, from concept to
commissioning.
3.6
Customer service plays a key role for success of any business. The timely
repair and condition monitoring of transformers and other substation equipments
are becoming more and more vital today.
With the objective of utilising our strength and technical capability in
the manufacture of heavy electrical equipment to the maximum, we have formed a
Customer Service Division which is entrusted with total responsibility of
Marketing, Engineering, Planning, Procurement and manufacturing activity
connected to Service Function. Providing services, requires least material
investment compared to manufacturing activities. Testing and manufacturing facilities
available at TELK can be additionally utilised for repairs which is more
profitable also.
4.1 TELK
has acquired good reputation
for the manufacture and supply of
various HV and EHV equipments required for Power
Projects. As the Products of TELK
are meant for Power Projects, the
demand for TELK’s Product is a derived demand based on the addition of Electric
Power Generating capacity and development of Transmission and Distribution
System in the country.
Electric Power is a basic input for growth and development of any country
and it is an essential
ingredient for improving the standard of living of the people.
4.2 In
India, the per capita consumption of Electricity is very low and the Government
has taken aggressive measures to enhance the Power Development in India. The 10th Five Year plan of India for the period ending March 2007
envisages an addition of over
41,000 MW. The capacity is further
expected to undergo exponential growth during the next three five year plan
periods and an increase in generating capacity of the order of 160,000 MW is
expected. As such, phenomenal
growth in demand is expected for HV and EHV Electrical Products required for
Generation, Transmission and Distribution of Electric Power in India. In addition to the existing
Product range of TELK, there is good scope for entering into new products.
5.1 TELK
has got Regional Offices in New Delhi and Madras for giving better service to
customers. Prompt and efficient
“After Sales Service” is provided by well experienced Senior Engineers, who also
supervise the erection and commissioning of TELK equipment at various sites all
over India.
6.1 TELK
is multi product heavy equipment manufacturing company with forty years presence
and has established its brand image in India. The present installed capacity of
TELK is 4500MVA Power Transformers per annuam. TELK’s manufacturing facilities
are as follows.

Land
The production facility is located at
Angamally, 2kM from the city center on the side of National Highway No.47.
Angamally is just 5 kms from Cochin International Airport, 40 kM from Cochin Sea
port and 0.3 km from Angamally Railway station. Thus TELK is well connected by
Rail, Road, Ship and Air. The facility is housed in a total area of 44.2 Hectre.

The plant Is located on the side of National
High way with factory building of 30,000 sq metre plinth area and administration
building of 2679 sq .metre area. Detailed lay out of factory building is given
in the Exhibit 4. All the
buildings are steel and RCC type.
